Thank you for choosing JUZI Chinese membership service! This agreement is between you and JUZI Chinese regarding the user's use of JUZI Chinese membership services. Before using this service, please carefully read and fully understand the contents of each clause, especially the corresponding clauses that limit or exempt liability, as well as the separate agreement for opening or using a certain service, and choose to accept or reject it. The limitation or exemption clauses may be highlighted in bold to alert you. Unless you have read and accepted all the terms of this agreement, you have no right to use this service. Your purchase, login, viewing, and any other use of this service shall be deemed as your reading and agreement to be bound by this agreement.

（1） Definition

• 1."JUZI Chinese" refers to the JUZI Chinese APP business operated by Universal Knowledge (Beijing) Digital Media Technology Co., Ltd.
• 2."JUZI Chinese Member Service"/"This Service" refers to the privileges provided by JUZI Chinese or third-party partners in terms of products and other aspects after users pay a certain value-added service fee in accordance with JUZI Chinese's designated method. JUZI Chinese may launch different membership services based on different product and service types. At the same time, JUZI Chinese may also adjust existing membership service types and continuously introduce new ones based on user needs, changes in product and service types, etc. The specific types and contents of JUZI Chinese membership services will be provided by JUZI Chinese according to the actual situation.
• 3."Login Account" refers to the JUZI Chinese account used by you to log in to this service (or any sub services included in this service). When using third-party accounts other than JUZI Chinese accounts to log in, you must fully comply with the relevant requirements of the account provider (for example, if the login account is an Apple account, then the login account provider for that account is Apple, and so on. Any reference to the login account provider in this agreement refers to the provider of other login accounts other than JUZI Chinese accounts).
• 4."You"/"User" refers to natural person users who use this service, and only natural person users can use the sub services included in this service for free or for a fee after reading and accepting all the terms of this agreement and the relevant agreements, business rules, etc. (if any) attached to the sub services included in this service. Any non natural person user (including any institution or organization with or without legal entity qualification) shall not use this service or any sub services included in this service in any way under any circumstances.

（2） Accept this agreement

• 1.When using this service, you should comply with relevant agreements and business rules. If you do not accept all or any part of the terms of this agreement, you have no right to use any part or all of this service.
• 2.Even if you do not click to agree to this agreement, the following actions will be considered as your recognition of this agreement:

  2.1.Clicking to log in to this service will be deemed as your full agreement to this agreement;

  2.2.In actual use of this service, such use shall be deemed as your full consent to this agreement;

  2.3.The actual use of JUZI Chinese along with any products or services provided with this service (if any) shall be deemed as your full consent to this agreement.

  2.4.The actual use of any products or services provided by a third party in conjunction with this service (if any) shall be deemed as your full consent to this agreement.

• 3.Before you proceed, JUZI Chinese strongly recommends that you print or save this agreement locally for record keeping.
• 4.Your agreement to this agreement shall be deemed as your acknowledgement and agreement to all the terms of this agreement, and you guarantee to fully comply with this agreement.

（3） Service fees

• 1.This service is provided on a paid basis. The service fee is collected through third-party payment channels, including the currently opened Apple Pay and other payment channels that may be added in the future.
• 2. JUZI Chinese may modify and change the charging mode, charging standards, and methods of this service fee based on actual operational conditions. JUZI Chinese may also start charging for the free portion of this service currently provided. Prior to the aforementioned modifications, changes, or commencement of charges, JUZI Chinese will notify or announce on the corresponding service page. If you do not agree with the above modifications, changes, or paid content, you should stop using that part of the service.
• 3.You should understand that the service fees you pay to JUZI Chinese do not include the costs incurred by the hardware and bandwidth you provide for using this service, as well as the related costs incurred by your access to mobile networks. You need to prepare your own terminal devices (such as mobile phones, tablets, modems, etc.) related to this service when using JUZI Chinese. Your use of this service will consume your terminal devices and bandwidth resources, and you should bear the related costs that you need to pay to third parties, including network operators, for using this service, such as hardware purchase fees, bandwidth fees, telephone fees, mobile SMS fees (if any), etc.
• 4.Service Renewal and Suspension: If the user fails to renew the service on the expiration date of the service period they have subscribed to, JUZI Chinese will terminate the provision of any part or all of JUZI Chinese membership services to the user from the day after the expiration of the service period. JUZI Chinese will not be held legally responsible for any losses caused to the user due to the termination of JUZI Chinese membership services upon the expiration of the service period.

（4） The activation, suspension, termination, and transfer of this service

• 1.Service activation

  After the user completes the payment of the JUZI Chinese membership service fee, they will obtain the JUZI Chinese membership qualification. The JUZI Chinese membership service period starts from the date of opening the JUZI Chinese membership service.

• 2.Suspension of Services

  2.1. In order to ensure the normal operation of this service, JUZI Chinese has the right to conduct regular or irregular maintenance, including but not limited to maintaining the relevant apps of this service from time to time. You should understand the normal service interruption caused by such situations, and JUZI Chinese will make reasonable efforts to notify in advance and try to avoid service interruption or limit the interruption time to the shortest possible time; However, JUZI Chinese shall not be held responsible for any inconvenience or loss caused as a result.

  2.2.In the event of any of the following circumstances, JUZI Chinese reserves the right to interrupt the provision of services under this Agreement to you at any time without notice, and JUZI Chinese shall not be liable to you or any third party for any inconvenience or damage caused thereby:

  2.2.1.Regular inspections or construction, software and hardware updates, etc. JUZI Chinese has the right to suspend services, but JUZI Chinese will complete maintenance and update work as soon as possible;

  2.2.2.The server is damaged and cannot operate normally;

  2.2.3.Sudden software and hardware equipment and electronic communication equipment failures;

  2.2.4.Network provider line or other faults;

  2.2.5.In emergency situations, to safeguard national security or the personal safety of other third parties;

  2.2.6.Force majeure and other third-party reasons;

  2.2.7.JUZI Chinese suspects that you may engage in illegal or harmful behavior that may harm the legitimate rights and interests of third parties, or that may lead to JUZI Chinese being held responsible, or that JUZI Chinese has received intellectual property infringement complaints from third parties.

• 3.Termination of Services

  If a user violates the relevant regulations of JUZI Chinese (including but not limited to this agreement) or violates applicable laws and regulations, JUZI Chinese has the right to immediately cancel part or all of the services provided to the user, and also has the right to seal your login account so that you can no longer use any sub services included in this service. Please strictly follow the relevant regulations and applicable laws and regulations of JUZI Chinese when using this service. If JUZI Chinese cancels part or all of this service due to your breach of contract or illegal behavior, or if JUZI Chinese seals your login account, resulting in any losses suffered by you or third parties (including but not limited to the loss or damage of all file information stored by you during the use of this service), JUZI Chinese shall not be liable, and JUZI Chinese shall not be obligated to provide any content recovery or backup services for you or third parties.

• 4.Transfer of Services

  This service is for your own use only, and you have no right to transfer, sublicense, or sub license any part or all of this service to any party other than you at any time. In case of any conflict between this provision and other provisions of this agreement, this provision shall prevail.

（5） Other

• 1.The conclusion, execution, interpretation, and dispute resolution of this agreement shall be governed by Chinese law.
• 2. If there is any dispute between the two parties regarding the content or execution of this agreement, both parties shall try their best to resolve it through friendly negotiation; If the negotiation fails, you and JUZI Chinese agree to submit to the court with jurisdiction over the location of Wanzhidian (Beijing) Digital Media Technology Co., Ltd.
• 3. Users can contact JUZI Chinese through the customer service department for their opinions and suggestions on any part of this service or this agreement.
